SENIOR STOCK ADMINISTRATOR – Mountain View, CA
Our client, a publicly traded technology company, is seeking a new Senior Stock Administrator to join their team.  A full time, direct hire opportunity, this position will assist with all aspects of the company’s global equity administration on a two-person team.  The ideal candidate will have 8 years of progressive equity compensation experience and be well versed in all aspects surrounding day-to-day equity administration.
RESPONSIBILITIES:
  • Maintain stock administration database, while ensuring integrity and timely updates
    • Newly granted awards
    • Mobility tracking
    • Participant data updates
    • Vestings, releases and terminations
    • Monitor ESPP purchases and contribution changes
    • Terminations
  • Implement, process and settle 10b5-1 trading plans
  • Coordinate according with Finance, Tax, Payroll, HR and transfer agent as it relates to vestings, releases, purchases and routine/ad-hoc reporting
  • Coordinate open enrollment for ESPP
  • Assist Legal with insider trading compliance, the preparation and filing of Section 16 reporting, compiling data for D&O questionnaires, proxy and 10Q/10K
  • Perform reconciliation on a monthly, quarterly and yearly basis
  • Assist with the creation and maintenance of a public company cap table
  • Partner with internal and external auditors for quarterly reviews and year-end audits, ensuring that internal controls are SOX-compliant
  • Ensure proper documentation of all equity related processes and procedures including maintenance of the equity portion of the company intranet
  • Assist employees with equity-related inquiries, communications and ongoing employee education
REQUIREMENTS:
  • Minimum of 8 years of equity administration with a publicly traded, global company
  • CEP designation preferred
  • Knowledge of SOX compliance, ASC718, 409A, general equity accounting and global equity taxation
  • Intermediate user of Excel
  • Client service oriented
  • Effective communication skills, both oral and written
  • Superb work ethic, strong attention to detail and high level of moral integrity
  • Highly accurate at all times
