Our client, a reputable biotech company, is seeking a new Stock Plan Administrator.  A full time, direct hire opportunity, this position is a sole contributor role, overseeing the company’s global equity programs.
  • Manage all aspects of the company’s equity compensation programs including stock options (time and performance based) and restricted stock
  • Ensure that stock plan database is updated and accurate
  • Manage new option grants, exercises, cancellations and terminations
  • Serve as primary contact with internal business partners in HR, Finance and Legal and external partners, brokers, vendors and transfer agents
  • Prepare quarterly, annual and ad-hoc reports, as required
  • Serve as primary contact for all employee inquiries and questions
  • Coordinate accordingly with internal and external counsel regarding international equity requirements
  • Assist the Legal Department with setting up and filing Rule 144 paperwork and Form 4’s in a timely manner
  • Provide Compensation Committee with data for books, proxy and annual report
  • Assist with internal and external audits
  • Remain current on regulatory matters pertaining to equity compensation
  • Bachelor’s Degree
  • Minimum of 5 years of relevant experience at a publicly traded company
  • CEP certification, strongly preferred
  • Experience with SOX controls and stock-based compensation, a plus
  • Knowledge of SEC and tax regulations as they relate to equity compensation
  • MS Office
  • Enthusiastic, self-motived and able to work independently as well as with a team
  • Excellent communication skills, both oral and written
